Thank you in advance for your anticipated help. Jackie Dear Jackie, Ouch. The good thing is, you have time. (Who's auditing you, anyway? IRS, FTB?) First of all, does your attorney or Tax Pro have the book? Or your partner? Or is it behind the drivers seat of your car? No? Here are a couple of choices - 1) Call up your incorporator - the company that set up your corporation and see if they can get you a copy. 2) Call up Attorney's Corporation Services - they're in the SFV They'll give you a new book and kit for about $50.00 and they can get one out to you in days. Do you have a copy of your by-laws and articles of incorporation? Your SS-4 application? Get your hands on those. (Secretary of State's office will have the articles on file) Meanwhile, there's nothing to prevent you from going back through the history of your company and putting together your minutes again. Doing them retroactively is even better. That way, you know, not only what decisions you made, but which decisions you actually acted on. Much cleaner! You may need to sit down with your attorney or Tax Pro (or both) to help you reconstruct the things that belong in there. Incidentally, you MAY call the auditor back and reschedule the audit so you have time to finish gathering all the records they will need. Do NOT be specific about what you are still gathering.
